Drew is a member of the Business Law and Real Estate and Zoning Practice Groups and concentrates his practice in general business matters, real estate and estate planning and probate matters. His business practice focuses on all aspects of corporate, limited liability company and partnership law, including purchases and sales of businesses, business entity selection and formation, financing arrangements, contracts and commercial transactions, employment law and business succession planning. Drew’s clients benefit from his years of work experience in commercial lending and securities brokerage and his undergraduate degrees in accounting and finance.
Drew’s real estate practice focuses on acquisition, development and sales of commercial real property, commercial leasing, sale/leaseback transactions, tax deferred 1031 exchanges, zoning, construction contracts and challenges to real estate tax valuations.
In 2007, Drew became certified by the Ohio State Bar Association (OSBA) as a specialist in Business, Commercial and Industrial Real Property Law. Also in 2007, Drew was appointed by the president of the OSBA to the Real Property Law Specialty Board of the OSBA.
Drew is AV Peer Review Rated, the highest rating given to lawyers by Martindale-Hubbell. Drew has held an AV Rating since 1998, the first year he was eligible for this rating.

Advised buyer in structuring, negotiation and purchase of a component parts manufacturing division of a privately-held industrial parent company; drafted letter of intent, asset purchase agreement and key officer employment agreement; negotiated bank and seller financing, intercreditor agreement, and lease of manufacturing facility from parent, and handled post-closing claims and issues.
Represented building materials wholesaler as borrower/tenant on master financing facility for 14 distribution centers located in eight different states. Assisted client in negotiations with capital markets broker and institutional lender for financing package. Coordinated title work, surveys and title insurance for all 14 locations. Lengthy and detailed involvement with legal counsel for institutional lender on review and approval of title work, surveys and title insurance endorsements. Represented client in review, negotiation and execution of mortgage loan documentation.
Represented seller in sale/leaseback of 576,000 sq. ft. warehouse/light manufacturing facility to institutional conduit investor which property owner purchased with Mr. Emmert’s representation from lender-in-possession two years earlier.
Advised sole shareholder of HVAC controls contractor in sale of stock to a Fortune 500 utility holding company, including negotiation and drafting of stock purchase agreement, employment agreement, and post-closing issues.
Represented developer in negotiation and drafting of land acquisition contracts for retail and commercial development with lengthy and extendable due diligence periods. Assisted developer in zoning, feasibility, environmental, financing, title, survey and all other matters of due diligence. Assisted identification and resolution of title and survey issues and close the transactions.
Represented contractor to shopping mall in preparation and filing of multi-million dollar mechanic’s lien for “white box” build-out work at regional shopping mall. Represented contractor in settlement negotiations with mall owner resulting in payment and release of mechanic’s liens. |
